(NASDAQ: MYL) today announced it has entered into an definitive agreement with GlaxoSmithKline (NYSE: GSK) to acquire the exclusive rights to distribute its Celebrex brand (celecoxib) and generic Celebrex (celecoxib extended release capsules) generics to Mylan's generic subsidiary, Mylan XR, for a total consideration of $45.6 million. Mylan will further acquire the rights to distribute Mylan XR generic versions of Celebrex to the generics' Mylan subsidiary, Mylan Laboratories Inc., from Mylan, its parent company, as well as Mylan XR. Mylan has made no representations or warranties about the value of any such deals, including for the duration of the transactions.
Under the terms of the agreement, Mylan will not receive any additional payments or royalties under the agreement, which would otherwise be passed on to GlaxoSmithKline, unless it is certain that the agreements will not work out in the best interests of the company.
